Welcome to Mode Technologies and the ModeWorks AI Platform (“we,” “our,” or “us”). By accessing or using our services, websites, applications, or tools (collectively, the “Platform”), you agree to be bound by the following Terms and Conditions (“Terms”).

1. Acceptance of Terms

By accessing or using the ModeWorks AI Platform, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not:

Violate any applicable laws or regulations;

Use the Platform for any fraudulent, malicious, or unauthorized purpose;

Attempt to interfere with or disrupt the integrity or performance of the Platform;

Copy, modify, or distribute any content without authorization.

4. User Content

You retain ownership of any data, content, or materials you upload or input into the Platform (“User Content”). By submitting User Content, you grant Mode Technologies a non-exclusive, royalty-free, worldwide license to use, process, store, and display the content solely for the purpose of operating and improving the Platform.

5. Intellectual Property

All content, trademarks, service marks, logos, and software associated with Mode Technologies and the ModeWorks AI Platform are the property of Mode Technologies or its licensors. You may not use our intellectual property without our prior written consent.

6. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

7. Disclaimers

• Platform Limitations: The Platform is provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Platform will be error-free, secure, or continuously available.
• LLM Limitations: The Platform uses Large Language Models (LLMs) which may generate outputs that are not always accurate or reliable. While we strive for high-quality results, the LLMs can make mistakes, and Mode Technologies does not guarantee the accuracy or completeness of the content generated by the Platform.
• Chat Data Storage: When using the online chat feature, chat-specific data may be stored on our servers. If you wish to move your data to a designated storage solution, please contact us directly, and we will assist in transferring the data. Please note, we do not train or use any of the data stored on our servers for training purposes.

8. Limitation of Liability

To the maximum extent permitted by law, Mode Technologies shall not be liable for any indirect, incidental, special, or consequential damages, including loss of data, profits, or business opportunities, arising out of your use of or inability to use the Platform.

9. Termination

We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users or us.

10. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the “Last Updated” date above. Your continued use of the Platform constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.
